Terms of Service

1. Eligibility

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to enter into a binding contract with Simplyyy. By using the Services you represent and warrant that you meet this requirement and that the information you provide is accurate and complete.

2. The Services

Simplyyy Systems is a digital product studio that designs and sells templates, suites, spreadsheets, documents, kits, and other digital tools. All Services are delivered in digital form. We reserve the right to modify, suspend, or discontinue any portion of the Services at any time without liability, except as expressly set out in these Terms.

3. License to Digital Products

Subject to your full payment and continued compliance with these Terms, Simplyyy grants you a non-exclusive, non-transferable, non-sublicensable, worldwide, perpetual license to use each purchased digital product for your own personal and internal commercial use.

3.1 Permitted use

• Use the product in your own work, business, or freelance practice.
• Modify the product for your own purposes, where the file format allows.
• Use deliverables you produce with the product (e.g., documents, spreadsheets, exports) commercially.

3.2 Restrictions

• You may not resell, sublicense, rent, lease, distribute, or otherwise transfer the product, in original or modified form, to any third party.
• You may not share access credentials, download links, or copies of the product with any individual or entity that has not purchased a license.
• You may not represent the product, in whole or in substantial part, as your own original work product, template, or course material.
• You may not reverse-engineer, decompile, or attempt to extract source assets except to the extent expressly permitted by applicable law.

Each purchase is a single-user license. Additional users within your organization require additional licenses.

4. Orders, Pricing, and Payment

All prices are stated in the currency displayed at checkout and are exclusive of any applicable taxes, duties, or processing fees, unless otherwise indicated. Payments are processed by third-party payment processors. Simplyyy does not store full payment card details. By submitting an order you authorize the charge of all applicable amounts to your selected payment method.

5. Delivery

Digital products are delivered electronically, typically by download link or email, promptly following successful payment. You are responsible for providing an accurate email address and for ensuring that you can receive and store the delivered files.

6. Custom Work and Customizations

Custom work, customizations, and bespoke modifications are offered separately and are subject to a written scope and quote. Where a requested customization materially exceeds the original scope, Simplyyy reserves the right to revise the quote and timeline before proceeding. No work outside the agreed scope is performed without prior written approval.

7. Refunds

Refund rights for digital products and custom work are governed by our Refund Policy, which is incorporated into these Terms by reference.

8. Intellectual Property

All Services, including the underlying software, design, text, graphics, logos, and product files, are owned by Simplyyy or its licensors and are protected by copyright, trademark, and other intellectual property laws. Except for the limited license granted in Section 3, no right, title, or interest in or to the Services is transferred to you.

9. User Conduct

You agree not to use the Services to: (a) violate any applicable law or regulation; (b) infringe the rights of any third party; (c) transmit any material that is unlawful, harmful, defamatory, or otherwise objectionable; or (d) interfere with or disrupt the integrity or performance of the Services.

10. Third-Party Services

The Services may link to or rely on third-party websites, payment processors, analytics providers, and email services. Simplyyy is not responsible for the availability, content, or practices of any third party and your use of any third-party service is at your own risk and subject to the third party's terms.

11. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Simplyyy does not warrant that the Services will be uninterrupted, error-free, or that defects will be corrected.

12. Limitation of Liability

To the maximum extent permitted by law, in no event shall Simplyyy, its owners, employees, or contractors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Services. Simplyyy's aggregate liability for any claim arising out of these Terms or your use of the Services shall not exceed the amounts actually paid by you to Simplyyy for the specific product giving rise to the claim in the twelve (12) months preceding the event.

13. Indemnification

You agree to defend, indemnify, and hold harmless Simplyyy from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from (a) your use or misuse of the Services, (b) your violation of these Terms, or (c) your violation of any third-party right.

14. Termination

Simplyyy may suspend or terminate your access to the Services at any time, with or without notice, if you breach these Terms. Upon termination, the license granted in Section 3 terminates and you must cease all use of the affected product. Sections that by their nature should survive termination shall so survive, including intellectual property, disclaimers, limitations of liability, and governing law.

15. Changes to These Terms

Simplyyy may update these Terms from time to time. Material changes will be indicated by updating the effective date above. Your continued use of the Services after any update constitutes acceptance of the revised Terms.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts of the Philippines for the resolution of any dispute arising out of or in connection with these Terms.
